Kuku Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Futuro AI, Inc., a Delaware corporation ("Kuku," "Company," "we," "us," or "our"). They govern your access to and use of the Kuku mobile application and related features, content, websites, and services (collectively, the "Services").

By downloading, registering for, accessing, or using the Services, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, do not use the Services.

These Terms include a binding arbitration provision and class-action waiver in Section 17. Please read that section carefully.

2. Eligibility and Accounts

2.1 Age Requirements

You must be at least 13 years old to use the Services. If you are under the age of legal majority where you live, you may use Kuku only with the consent of a parent or legal guardian. Kuku may apply a higher minimum age where required by law or by a connected third-party service.

2.2 Account Information

You agree to provide information that is accurate enough to operate your account, keep it reasonably current, protect your sign-in credentials, and promptly notify us at teams@futuro.live if you suspect unauthorized access. You are responsible for activity under your account unless prohibited by law.

2.3 Account Decisions

To protect the Services and users, we may require verification, limit features, refuse registration, suspend access, or close accounts where we reasonably believe information is false, an account is compromised, these Terms are violated, or action is needed for safety, legal, or operational reasons.

3. What Kuku Does

Kuku is a creative friend-interaction app. Features may include:

• profiles created from information, photos, and connected content that a user chooses to provide;
• AI-generated profile descriptions, aesthetic or personality-style tags, archetypes, and other playful interpretations;
• friend invitations through invite codes or share links;
• photo-based and other friend challenges, including editable "Guess What" prompts;
• competitive or comparison-style experiences such as "Intense Battle";
• fictional or entertainment-focused experiences such as "Delulu Dating"; and
• results, scores, tags, reactions, and shareable cards created from participant inputs.

Features, names, formats, eligibility, and availability may vary by user, device, location, test group, app version, or time. A screenshot or description does not guarantee that a feature will always be available in the same form.

4. Friend Connections and Sharing

4.1 Invites and Connections

You may add friends by entering an invite code or sharing a link. You are responsible for choosing recipients and for keeping private invite links from unintended recipients. We may expire, disable, or replace codes or links for safety or operational reasons.

4.2 What Is Shared

A friend can see only what you deliberately send to that friend, together with information needed to understand that sent item, such as your display name, profile image, selected content, answers, participation status, results, tags, or scores. A result may also be delivered to selected participants where the feature clearly states that delivery before you start or join the interaction. Kuku will identify the sharing context in the feature or user flow. Do not send content you do not want the intended recipient to see.

Simply becoming friends in Kuku does not give another user access to your Kuku profile, recent-activity status, full Instagram or TikTok account, calendar, music library, private messages, or unrelated connected-service data.

Kuku also does not provide open direct messaging unless a future feature expressly says otherwise.

4.3 Other Users

We do not control what another user does with content after receiving or viewing it. Other users may save, copy, discuss, or share content outside Kuku. Use discretion, and remove or report a connection if an interaction makes you uncomfortable.

5. Optional Third-Party Connections

You may choose whether to connect Instagram, TikTok, Google Calendar, or Apple Music. Where supported, you may instead upload or enter content manually. A connection is optional unless Kuku clearly states that a particular optional feature requires it.

When you connect a service:

• you authorize Kuku to request only the permissions shown in the connection flow;
• you choose the supported content or data categories Kuku receives for the requested feature;
• Kuku does not receive your third-party password or access private direct messages through these integrations;
• the third party's own terms, privacy policy, account rules, and technical limits also apply; and
• you may disconnect the service through Kuku or the provider's settings, although previously imported or generated content may remain until separately deleted.

You represent that your use of any connected account and any content you provide from it complies with the provider's rules and does not violate another person's rights. We may change, limit, or discontinue an integration if the provider changes its platform, if access is restricted, or for legal, safety, security, or operational reasons.

Third-party service providers do not sponsor or endorse Kuku unless expressly stated.

6. AI-Generated and Entertainment Content

Kuku uses automated systems, which may include artificial intelligence and computer vision, to analyze user-selected content and generate profiles, prompts, tags, scores, match or compatibility results, and other creative outputs.

• Outputs may be inaccurate, incomplete, unexpected, repetitive, biased, or inappropriate.
• Profiles, archetypes, tags, scores, and "Delulu Dating" results are fictional or entertainment-oriented and are not verified statements about identity, personality, compatibility, relationships, or future outcomes.
• Outputs are not professional, medical, psychological, legal, financial, employment, or relationship advice.
• You should review and edit generated content before sending it and should not rely on it for important decisions.

We may filter, regenerate, limit, label, remove, or decline to produce content where reasonably necessary for product quality, safety, legal compliance, or the protection of users or Kuku.

7. User Content

7.1 Your Ownership

As between you and Kuku, you retain ownership of photos, text, answers, and other content you submit ("User Content"), subject to rights held by other people or platforms.

7.2 License to Kuku

You grant Kuku a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt, analyze, format, create derivative outputs from, display, transmit, and otherwise use User Content as reasonably necessary to operate, secure, support, improve, and develop the Services and to provide the features you request. This license lasts for as long as the content is stored in the Services and for a reasonable period afterward for backups, legal compliance, safety, and dispute resolution.

We will not use your private photos or private friend interactions in public advertising without separate permission. We may use de-identified or aggregated information and may use feedback you voluntarily provide to describe or improve Kuku.

7.3 Your Responsibilities

You represent that you have all rights and permissions needed to provide User Content and to authorize the uses described in these Terms. If a photo or prompt includes another person, you are responsible for respecting that person's privacy, dignity, and applicable rights, including any consent required for minors.

8. Acceptable Use

You may not use the Services to:

• violate law or another person's privacy, publicity, intellectual-property, or other rights;
• harass, threaten, bully, impersonate, shame, stalk, exploit, or deceive another person;
• upload sexual or exploitative content involving minors, non-consensual intimate content, or content that promotes serious harm;
• submit malicious code, interfere with security, overload the Services, or gain unauthorized access;
• scrape, crawl, automate access, reverse engineer, or extract models, data, or source code except where law expressly permits;
• manipulate challenges, impersonate participants, exploit bugs, or use Kuku for spam or unauthorized commercial activity; or
• use generated content to make high-impact decisions about another person or present entertainment outputs as verified facts.

We may investigate, remove content, limit distribution, restrict features, or suspend or terminate access when we reasonably believe conduct violates these Terms, creates risk, or may harm users, Kuku, or third parties. We are not required to monitor all content or disputes.

9. Reports and Safety

You may report content or conduct through available in-app tools or at teams@futuro.live. We may review relevant account, content, and interaction information to investigate. We decide what action is appropriate based on available information, product context, safety, and applicable law, but we do not promise a specific outcome or response time.

10. Kuku Intellectual Property

The Services, including Kuku's software, characters, artwork, names, logos, interface, templates, challenge formats, generated-output presentation, and Company content, are owned by or licensed to Futuro AI, Inc. and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

Except as expressly allowed, you may not copy, sell, license, distribute, publicly display, modify, or create competing services from Kuku's proprietary materials.

11. Feedback

If you provide suggestions, ideas, or other feedback, you grant Kuku a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation. This does not give us ownership of your private User Content.

12. Service Operation and Changes

We may test, add, change, rename, limit, suspend, or discontinue any feature or part of the Services; set or change usage limits; adjust how content is generated, ranked, selected, or displayed; and take reasonable actions needed to operate the Services. We may do so at any time, with or without notice where permitted by law.

The Services may be unavailable because of maintenance, third-party dependencies, device compatibility, connectivity, testing, security events, or other causes. We do not guarantee continuous availability, preservation of every draft or result, or compatibility with every device or third-party account.

13. Privacy

Our Kuku Privacy Policy explains how we handle personal information and is incorporated into these Terms. Please review the policy linked in the App or at the web page associated with this version of Kuku.

14. Third-Party Services

Third-party platforms, links, content, devices, and services are not controlled by Kuku. We are not responsible for their availability, accuracy, security, content, or practices. Your relationship with each third party is governed by that third party's agreements, and you use third-party services at your own risk.

15. Apple App Store Terms

If you download or use Kuku through Apple's App Store, you acknowledge that these Terms are between you and Futuro AI, Inc., not Apple. Apple is not responsible for the App, its content, maintenance, support, warranties, or claims relating to the App. To the extent required by applicable App Store terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Disclaimers and Limitation of Liability

16.1 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." KUKU DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE SERVICES WILL BE ERROR-FREE OR SECURE.

16.2 User and Third-Party Conduct

Kuku is not responsible for the conduct of users, the truth or meaning of User Content, actions taken based on generated outputs, or what recipients do with shared content. You are responsible for your interactions and decisions.

16.3 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUKU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID KUKU FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.

17. Dispute Resolution, Arbitration, and Class Waiver

17.1 Informal Resolution

Before starting arbitration, you and Kuku agree to make a good-faith effort to resolve a dispute informally for 30 days after written notice. Send notices to teams@futuro.live and include your account information, a description of the dispute, and the relief requested.

17.2 Binding Arbitration

Except for eligible small-claims matters, requests for injunctive relief concerning intellectual property or unauthorized access, and claims that cannot legally be arbitrated, disputes arising from or relating to these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this section.

17.3 No Class Actions

To the extent permitted by law, you and Kuku may bring claims only in an individual capacity, not as a plaintiff, class member, or representative in a class, collective, consolidated, or representative proceeding. The arbitrator may award relief only to the individual party seeking relief.

17.4 Opt-Out

You may opt out of Sections 17.2 and 17.3 by emailing teams@futuro.live within 30 days after you first accept these Terms. Include your name, account email or identifier, and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Futuro AI, Inc. and its affiliates, officers, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from your User Content, your misuse of the Services, your violation of these Terms, or your violation of another person's rights. We may control the defense of a covered claim, and you agree to cooperate reasonably.

19. Suspension and Termination

You may stop using Kuku at any time and may delete your account through available settings. We may suspend, limit, or terminate access, remove content, or discontinue the Services where reasonably necessary for violation of these Terms, risk or harm, legal compliance, security, prolonged inactivity, or business and operational reasons.

Upon termination, your license to use the Services ends. Sections that by their nature should survive - including ownership, licenses already needed for legal or backup purposes, disclaimers, liability limits, dispute resolution, indemnification, and miscellaneous terms - will survive.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 17. If a dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware, unless applicable consumer law provides otherwise.

21. Changes to These Terms

We may update these Terms to reflect changes to Kuku, law, safety needs, third-party requirements, or business operations. We will post the updated Terms and revise the Effective Date. For material changes, we may provide additional notice. Continued use after the effective date constitutes acceptance, subject to any additional consent required by law.

22. Interpretation and Miscellaneous

To the extent permitted by law, Kuku retains reasonable discretion to interpret and apply these Terms, feature descriptions, eligibility rules, and safety or moderation standards, including situations not expressly addressed. We will exercise that discretion in good faith and consistently with applicable law. Nothing in these Terms limits rights that cannot legally be waived.

These Terms and the Kuku Privacy Policy are the entire agreement concerning the Services unless a feature presents additional terms. If additional terms conflict with these Terms, the additional terms control for that feature. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction or operation of the Services. Headings and examples are for convenience and do not limit the text. The English version controls to the extent permitted by law.

Except for Apple as expressly stated above, these Terms do not create third-party beneficiary rights.
